End User License Agreement (EULA)

This EULA governs the use of the KeenSafe platform, agents, command-line tooling and accompanying software by an authorised end user under a customer subscription. It is the same EULA referenced in customer master agreements.

Acceptance of terms

By installing, accessing or using any KeenSafe software — including the cloud orchestrator, validation agents, command-line tooling, browser extension, mobile companion app or downloadable client libraries — the end user accepts this EULA on behalf of themselves and any organisation they act for.

If the end user does not accept these terms, the software must not be installed, accessed or used. Use of the software inside an organisation is additionally subject to the master subscription agreement between KeenSafe and that organisation.

Licence grant

KeenSafe grants the end user a limited, non-exclusive, non-transferable, revocable licence to use the software solely for the purposes permitted under their organisation's active subscription, within the scope and term of that subscription.

The licence is personal to the end user and may not be sub-licensed, sold, leased, or assigned. Concurrent use across multiple individuals on a single named-user licence is prohibited.

Permitted use

  • Operating the software within environments the end user is authorised to operate in by their employer or contracted client.
  • Running validation, simulation, monitoring and reporting workflows enabled by the active subscription.
  • Configuring agents, scopes and rules-of-engagement consistent with the customer's contractual scope.
  • Exporting findings, evidence and reports for internal use, audit, regulator or insurer review.

Restrictions

The end user must not, directly or indirectly:

  • Reverse-engineer, decompile, disassemble or otherwise attempt to derive the source code of the software, except where such activity is expressly permitted by applicable law.
  • Use the software to attack, exploit, disrupt or test systems the end user is not authorised to act against, including third-party systems outside agreed scope.
  • Remove, disable, or circumvent any rules-of-engagement, scope guardrails, throttling controls or safety mechanisms enforced by the platform.
  • Use the software to develop or train a competing product, or to create a substantially similar service.
  • Resell, redistribute or grant access to the software to any party outside the licensed organisation without prior written consent from KeenSafe.

Data, evidence and audit log

The software produces evidence artefacts (telemetry, payloads, screenshots, packets, signed reports). These artefacts may include sensitive operational and personal data depending on engagement scope.

End users are responsible for handling such artefacts in accordance with their organisation's information-security and data-protection policies, and applicable law (including GDPR, KVKK and sectoral regulations where applicable).

Audit log entries generated by user actions are retained per the customer's contractual retention policy and may be reviewed by KeenSafe support, security or compliance teams as required by the master agreement.

Updates and version management

KeenSafe may release updates, patches, hotfixes, new versions and security advisories at its discretion. End users are required to apply security-relevant updates within the timelines stated in the security advisory.

Material breaking changes are announced through the customer change-management channel with a defined deprecation window.

Open-source components

The software incorporates open-source components. Their use is governed by their respective licences, which take precedence over this EULA for those specific components. A current list of open-source components and applicable licences is available on request via the contact address below.

Intellectual property

All right, title and interest in the software, including all intellectual property rights, remain with KeenSafe and its licensors. This EULA grants no rights other than those expressly stated.

Findings, evidence and reports generated for the customer remain the customer's property under the master subscription agreement, subject to the licence granted to KeenSafe to use anonymised aggregate data for service improvement.

Warranty disclaimer

The software is provided "as is". KeenSafe disclaims all implied warranties to the maximum extent permitted by law, including merchantability, fitness for a particular purpose and non-infringement, except where the master subscription agreement provides express warranties.

Limitation of liability

To the maximum extent permitted by applicable law, neither party shall be liable for indirect, incidental, special, consequential or punitive damages arising from use of the software. Total aggregate liability under this EULA shall not exceed the limit stated in the customer's master subscription agreement.

Termination

This EULA terminates automatically upon termination of the customer's underlying subscription, or upon material breach by the end user. On termination, the end user must cease using the software and delete all local copies.

Sections relating to intellectual property, confidentiality, warranty disclaimer and limitation of liability survive termination.

Governing law

This EULA is governed by the laws stated in the customer's master subscription agreement. Where no master agreement applies, the EULA is governed by the laws of England and Wales, with exclusive jurisdiction in the courts of London, without prejudice to mandatory consumer-protection rights.
